1. Agreement Authority & Acceptance

Authority to Enter Agreement

As our client, you represent and warrant that you have the full power and authority to enter into this contract on behalf of your company or organization. By accepting these terms, you confirm that:

• You are legally authorized to bind your organization to this agreement
• You have read, understood, and agree to all terms and conditions
• The information you provide to us is accurate and complete
• You will comply with all applicable laws and regulations

Acceptance of Terms

These Terms and Conditions ("Agreement") constitute a legally binding agreement between you (the "Client") and BizLaunch.ai ("Service Provider," "we," "us," or "our"). This Agreement becomes effective when you:

• Sign a proposal or service agreement
• Make any payment for our services
• Provide written or electronic acceptance
• Begin using our services

2. Scope of Services

Services Provided

BizLaunch.ai provides comprehensive digital business solutions including but not limited to:

• Custom website development using WordPress and proprietary themes
• Mobile application development (iOS and Android)
• AI-powered automation systems
• Marketing automation and CRM integration
• Digital marketing services (SEO, PPC, Social Media)
• Business process automation
• Analytics and tracking implementation
• Ongoing support and maintenance services

Statement of Work

We've prepared the price quote based on everything discussed, including correspondence via email, in-person meetings, or phone calls. The breakdown is outlined in the Statement of Work document which includes:

• Scope of work and project objectives
• Specific tasks and deliverables
• Terms, conditions, and requirements
• Payment schedule and total project cost

3. Client Responsibilities

Required Materials and Information

You agree to provide us with everything necessary to complete the project in a timely manner, including:

• Logo files in appropriate formats (vector preferred)
• Website content (text, images, videos)
• Links to social media accounts
• Hosting and domain credentials
• Product information and pricing
• Business information and contact details
• Any other information we request in the format we require

Timely Response and Feedback

To avoid delays and ensure project success:

• Respond to requests for information within 48-72 hours
• Provide feedback on designs and deliverables promptly
• Complete and return our onboarding forms
• Attend scheduled meetings and calls
• Designate a single point of contact for approvals

4. Timeline & Deliverables

Project Timeline

Our estimated time to complete your website is 15-60 days from receipt of all required materials. This timeline is dependent on:

• Timely provision of all necessary assets
• Prompt approvals and feedback
• No significant scope changes
• Availability for scheduled reviews

Missed Deadlines

We cannot be held responsible for missed launch dates or deadlines if you have not provided:

• All required content on time
• Necessary revisions and approvals
• Access to required systems and platforms
• Payment according to the agreed schedule

Error Review Period

We provide a 7-day window from the date of website migration to your hosting for error review. This includes:

• Functional errors that occurred during migration
• Broken links or missing content
• Display issues on supported browsers

This does NOT include new revisions or feature additions. Any errors found after the 7-day period will be charged at our hourly rate of $125.00.

5. Pricing & Payment Terms

Payment Structure

BizLaunch.ai will provide services at the prices quoted in your proposal. Standard payment terms are:

• 50% deposit due upon contract signing
• 50% balance due upon project completion before final delivery
• Monthly services billed in advance
• Additional work billed at $120-$125 per hour

Accepted Payment Methods

• Bank transfer (ACH)
• Credit/Debit cards (3% processing fee may apply)
• Check (allow 5-7 business days for clearance)
• Online payment platforms (Stripe, PayPal)

Delinquent Accounts

Any sum which is more than thirty (30) days past due will:

• Accrue interest at 18% per year
• Result in suspension of all services
• May be sent to collections

In the event we seek legal advice for collection, you agree to pay our actual legal fees, costs, and disbursements, in addition to the principal sum due plus interest.

Refundable Deposits

Deposits are refundable for 95% of the deposit amount (5% processing fee) ONLY if cancellation notice is received within three (3) days of the initial deposit. After this period, all deposits become non-refundable as they cover initial setup costs and resource allocation.

6. Intellectual Property Rights

Ownership Rights

The client acknowledges that all rights, title, and interest in custom-developed systems are subject to the following terms:

BizLaunch.ai Retains:

• Source code and database structures
• Proprietary workflows and automation logic
• Custom frameworks and methodologies
• All underlying technologies and systems
• Rights to display work in portfolio

Client Receives:

• Non-exclusive, non-transferable license to use the system
• Rights to content provided by client
• Access to use the system for internal business operations
• Ownership of client-specific data and content

Licensing Agreement

BizLaunch.ai grants the client a non-exclusive, non-transferable license to use the custom-developed system for internal business operations. This license:

• Is restricted to operational use within your organization
• Does not permit copying, redistribution, or resale
• Prohibits reverse engineering or modification of core code
• Requires written consent for any public dissemination

Design Credit

We reserve the right to display "Designed by BizLaunch.ai" on your website. This credit:

• Acknowledges our work and craftsmanship
• Can be removed for a fee of $2,000
• Removal does not transfer design credit to any other party
• Must remain visible unless removal fee is paid

7. Website Development Procedures

Development Platform

We exclusively build websites using our custom-coded and designed WordPress themes. Please note:

• We do NOT work on existing websites
• We only build from our proprietary BizLaunch.ai themes
• Our websites are NOT plug-and-play templates
• All sites are fully custom designed and built
• We use WordPress as our content management system

Browser Compatibility

All websites are tested for functionality on:

• Current versions of Safari
• Current versions of Chrome
• Current versions of Firefox
• Current versions of Edge

We do not guarantee identical appearance on every screen due to varying screen resolutions and aspect ratios.

Mobile Responsiveness

All websites include responsive design that adapts to:

• Desktop computers (1920px and above)
• Laptops (1366px - 1920px)
• Tablets (768px - 1366px)
• Mobile phones (320px - 768px)

8. Revisions & Modifications

Included Revisions

The price estimate includes revision time not exceeding 10% of the total budget of web development time. This covers:

• Minor text changes
• Color adjustments
• Font modifications
• Small layout tweaks
• Image replacements

Additional Revisions

Should you request revisions beyond what's included:

• You will receive email notification of additional costs
• Work will be billed at $120 per hour
• Written confirmation required before proceeding
• Minimum billing increment of 30 minutes

Scope Additions

Any additions or changes to the original scope including:

• New features or functionality
• Additional pages or sections
• Integration with new services
• Design concept changes

Will be quoted and billed as a separate project or at our hourly rate.

9. Hosting & Migration

Recommended Hosting

We recommend the following hosting providers for optimal performance:

• GoDaddy (Preferred provider)
• SiteGround
• WP Engine
• Bluehost

All hosting/domain packages must be paid annually directly to your chosen hosting provider. You are responsible for maintaining your hosting and domain at all times.

Migration Requirements

Once project deliverables are approved:

• Full payment required before migration
• Hosting credentials must be provided within 30 days
• Migration completed within 48-72 hours of receiving access
• 7-day error review period begins after migration

Third-Party Costs

You are responsible for all third-party costs including:

• Hosting fees
• Domain registration and renewal
• SSL certificates
• Premium plugins or themes
• Stock images and fonts
• Email services
• CDN services

10. Guarantees & Liability

Service Guarantees

While we strive to produce the best possible results, we cannot guarantee:

• Specific ranking positions in search engines
• Exact number of leads or sales
• Specific revenue increases
• Viral social media success
• Third-party platform approvals

Satisfaction Policy

We offer a 100% satisfaction guarantee within 60 days of service delivery. Any objections or requests must be:

• Submitted in writing
• Received via email, fax, or mail
• Sent within 60 days of completion date
• Include specific issues to be addressed

Limitation of Liability

BizLaunch.ai accepts no liability for:

• Loss of sales or revenue
• Business performance metrics
• Third-party service failures
• Force majeure events
• Indirect or consequential damages

Our total liability shall not exceed the total amount paid for services under this agreement.

11. Cancellation & Refund Policy

Cancellation Terms

Either party may cancel services with written notice. The following terms apply:

Within 3 Days of Deposit:

• 95% refund of deposit (5% processing fee)
• No work will commence
• Agreement is void

After 3 Days:

• Deposits are non-refundable
• Work completed will be billed
• Files may be provided at our discretion

Service Termination

Upon cancellation or termination:

• All automated systems will be deactivated
• 48-hour notice provided before deactivation
• Deactivation occurs within 30-60 days
• No further access to our systems
• Client responsible for data backup

Post-Cancellation

BizLaunch.ai is not responsible for:

• Loss of functionality after cancellation
• Business performance decline
• Data loss after service termination
• Third-party service continuity

Reactivation

To reactivate services after cancellation:

• New agreement required
• New setup fee applies
• Current pricing will be in effect
• Subject to availability

12. Security & Confidentiality

Access Requirements

Our services require access to various accounts and systems:

• Google Business Profile
• Website hosting panels
• Domain management
• Social media accounts
• Email systems
• Analytics platforms
• Payment processors

Security Measures

We implement industry-standard security practices:

• Encrypted password storage
• Secure file transfer protocols
• Limited access on need-to-know basis
• Regular security updates
• Two-factor authentication where available

Liability Disclaimer

While we exercise due diligence in protecting your security:

• We cannot guarantee 100% protection from breaches
• We are not liable for third-party security failures
• Client responsible for changing passwords after project
• We recommend regular security audits

Confidentiality

Both parties agree to maintain confidentiality regarding:

• Proprietary business information
• Trade secrets and strategies
• Customer lists and data
• Financial information
• Technical specifications

13. Support & Maintenance

Post-Launch Support

After project completion, support options include:

Free Support Period:

• 7-day error correction window
• Migration-related fixes only
• No new features or content

Pay-As-You-Go Support:

• $125/hour for all work
• Minimum 30-minute billing increment
• Response within 48-72 hours

Monthly Maintenance Plans:

• Basic: $200/month - Updates and backups
• Standard: $500/month - Includes minor changes
• Premium: $800/month - Priority support and development time
• Enterprise: $1,350/month - Dedicated account management

Not Included in Support

• Major design overhauls
• New feature development
• Third-party plugin issues
• Hosting or server problems
• Content creation

14. Legal & Dispute Resolution

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Ohio, United States, without regard to conflict of law principles.

Dispute Resolution

In the event of any dispute arising from this Agreement:

1. Good Faith Negotiation: Parties will first attempt to resolve through discussion
2. Mediation: If unresolved, submit to mediation
3. Arbitration: Final resolution through binding arbitration
4. Legal Action: Only after exhausting above options

Indemnification

Client agrees to indemnify and hold harmless BizLaunch.ai from:

• Claims arising from client-provided content
• Violations of third-party rights
• Breach of this agreement
• Illegal use of services
• False or misleading information

Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Entire Agreement

This Agreement supersedes all prior negotiations, agreements, and understandings between the parties and constitutes the entire agreement. Any amendments must be in writing and signed by both parties.

15. Additional Terms

Online Marketing Services

For digital marketing services:

• Initial setup and optimization included
• Future modifications billed hourly
• Monthly management plans available
• Ad spend billed separately
• Performance reports provided monthly

AI and Automation Services

For AI-powered systems:

• Usage-based billing may apply
• API costs passed through at cost
• Training and setup included
• Ongoing optimization available

Custom Development

For custom applications and software:

• Agile development methodology
• Regular sprint reviews
• User acceptance testing required
• Source code ownership per IP agreement

Data Protection

We comply with applicable data protection laws:

• GDPR compliance where applicable
• CCPA compliance for California residents
• Secure data handling practices
• Data breach notification procedures
